Transaction & Counterparty Intelligence

A transaction can depend on assumptions about ownership, relationships and conduct that the data room leaves unresolved. Periplus examines those assumptions through independent collection, before capital is committed and as the investment develops.

Scope of work

Transaction viability

The conditions on which a transaction depends, including whether counterparties can deliver what they propose and how other interests may affect completion. Findings inform whether to proceed, revise the terms, seek further protection or decline.

Integrity, ownership and control

Enhanced due diligence on management and principals, beneficial ownership and the exercise of control. The work examines relevant conduct and relationships beyond the registered structure, testing adverse accounts as well as assurances.

Local partners and commercial networks

The standing and interests of partners, distributors and other intermediaries. Collection examines how their relationships work in practice and whether their claimed access or capability is supported by evidence.

Execution risk

Approvals, dependencies and informal understandings that the transaction timetable may not fully reflect. Findings identify where further diligence, a condition to completion or a change of sequence may be warranted.

Portfolio and supply-chain monitoring

Continuing assessment of developments that could affect an asset's performance or supply commitments. External reporting tests management's account and identifies changes in counterparties or operating conditions that merit attention.

Form of instruction

Assignments range from a focused counterparty assessment to transaction-specific diligence and standing portfolio reporting. Findings are framed around the client's decision and distinguish established facts from attributed accounts and assessment. They may substantiate the investment case as well as identify reasons to change it.
